Terms of Service

1. Agreement to Terms

By accessing or using Kertas ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Kertas is an agent execution platform operated by Kertas ("Company", "we", "us", or "our").

2. Description of Service

Kertas provides the following services:

  • Skill Distillation: Capture organizational know-how into standard SKILL.md packages and deploy them to agent workspaces
  • Agent Execution Runtime: Governed ReAct loop with namespaced tools (fs, knowledge, agent, control, git, shell, mcp) per workspace
  • Approval Per Action: Operators review, edit, or reject every non-safe tool call before execution
  • Decision Trace Learning: Every cycle and human edit is captured so the underlying skill compounds with use
  • Wiki-Pattern Workspaces: Per-execution virtual filesystem with raw inputs, knowledge, and artifacts isolated by organization
  • Sandboxed Tooling: @cloudflare/sandbox-backed `git.*` and `shell.exec` for code-aware skills

3. Account Registration & Responsibilities

3.1 Account Creation

  • You must provide accurate, current, and complete information
  • You must be at least 18 years old (or 16 in the EU with parental consent)
  • You are responsible for maintaining account security
  • One person or legal entity per account
  • You must not share account credentials

3.2 Organization Accounts

Organization accounts allow multiple users to collaborate. The organization owner is responsible for managing members, permissions, and ensuring compliance with these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Service.

4. Credit System & Billing

4.1 Credit-Based Pricing

Kertas operates on a credit-based system. Credits are consumed when using AI features:

  • Agent Cycle: Variable based on the model + token consumption of each ReAct cycle
  • Skill Upload + Tier Loading: Charged on first deployment when reference material is parsed and embedded
  • Sandbox Container: Per-second runtime cost while the @cloudflare/sandbox container is warm for `git.*` / `shell.exec` tools

4.2 Credit Packages

Credits are purchased in packages ranging from 100 credits ($8) to 10,000 credits ($500). Volume discounts apply. Custom enterprise pricing available.

4.3 No Refunds

Credits are non-refundable once purchased. Credits do not expire but may be forfeited if your account is terminated for violations.

4.4 Payment Processing

Payments are processed securely through Stripe. You agree to provide accurate payment information and authorize us to charge your payment method.

4.5 Price Changes

We reserve the right to modify credit costs and pricing with 30 days' notice. Changes do not affect previously purchased credits.

5. Acceptable Use Policy

You agree NOT to:

  • Upload malicious content, viruses, or malware
  • Process illegal, defamatory, or infringing content
  • Attempt to circumvent credit systems or abuse free trials
  • Reverse engineer, decompile, or extract models/algorithms
  • Resell or redistribute the Service without authorization
  • Use the Service for automated scraping or data mining beyond intended use
  • Impersonate others or provide false information
  • Interfere with Service security, availability, or performance
  • Use the Service to generate spam or unsolicited communications
  • Process personal data in violation of privacy laws (GDPR, CCPA, etc.)

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to documents, data, and content you upload ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service.

6.2 Platform Rights

The Service, including software, algorithms, UI/UX, branding, and documentation, is owned by Kertas and protected by copyright, trademark, and other intellectual property laws.

6.3 AI-Generated Content

Content generated by an agent execution (artifacts, knowledge entries, summaries) is provided "as-is". You are responsible for reviewing each proposed tool call via the approval flow and for verifying the final artifacts before use.

7. AI Processing & Limitations

7.1 AI Accuracy

AI models may produce inaccurate, incomplete, or biased outputs. We do not guarantee the accuracy of AI-generated content. You should independently verify critical information.

7.2 Decision-Trace Learning

Every approval, rejection, and inline edit you make is recorded as part of the execution trace and may be used to improve the underlying skill within your organization. We do not use your workspace data to train shared models without explicit opt-in consent.

7.3 Third-Party AI Services

We use third-party AI providers (OpenRouter, Tavily). These providers have their own terms and privacy policies. We are not responsible for their actions or errors.

8. Data Usage & Training

Important: We do not use Your Content to train AI models or improve third-party AI services without explicit opt-in consent. Your documents and conversations remain private.

We may use aggregated, anonymized usage statistics to improve the Platform (e.g., performance metrics, feature adoption rates).

9. Service Availability & Support

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be announced in advance when possible.

9.2 Support

Support is provided via email. Response times vary by subscription tier. Enterprise customers receive priority support.

9.3 Updates & Changes

We may update, modify, or discontinue features at any time. Major changes affecting core functionality will be communicated with reasonable notice.

10. Disclaimers & Limitation of Liability

10.1 "As-Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KERTAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

10.3 Liability Cap

Our total liability for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold Kertas harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) Your Content, (c) violation of these Terms, or (d) violation of any rights of third parties.

12. Third-Party Integrations

Kertas relies on third-party services for AI inference (OpenRouter), payments (Stripe), email (Resend), and hosting (Cloudflare). Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services.

Skills you upload may invoke external services through the `mcp.*` tool namespace; you are responsible for the operator approvals you grant for those calls.

13. Export Compliance

You agree to comply with all export control laws and regulations. You will not use the Service in embargoed countries or for prohibited end uses.

14. Dispute Resolution & Arbitration

14.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

14.2 Arbitration Agreement

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class actions.

14.3 EU Users

EU consumers retain the right to file complaints with their local consumer protection authority or use the EU Online Dispute Resolution platform.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on the Platform. Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service and may request account deletion.

16. Termination

16.1 By You

You may terminate your account at any time from the Settings page. Upon termination, your data will be deleted according to our Privacy Policy (within 30-90 days).

16.2 By Us

We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or for legal/regulatory reasons.

16.3 Effect of Termination

Upon termination: (a) access to the Service ends immediately, (b) unused credits are forfeited, (c) your data will be deleted according to retention policies, and (d) sections that should survive termination (e.g., liability limitations, indemnification) remain in effect.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kertas.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

17.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
